3. Business-to-Business Services Only
3.1 Scope
We provide services to business clients. We do not provide consumer services through this website.
3.2 Commercial Capacity
You confirm that you are entering into any agreement with us in a commercial capacity and not as a consumer.
4. Acceptance and Order of Precedence
4.1 Formation
A binding agreement is formed when any of the following occurs:
- You sign or approve a service agreement, proposal, quote, or statement of work.
- You make a payment, whether a deposit or full amount.
- You instruct us to proceed by email, message, call, or other written communication.
- We commence work on your behalf with your knowledge.
4.2 Order of Precedence
If you enter into a separate signed agreement, proposal, or statement of work with us, that document takes precedence over these website terms where there is a conflict. These terms apply to website use, services supplied without a separate signed contract, and matters not expressly covered by a separate agreement.
5. SEO, Digital PR, and Link Building Services
5.1 No Guarantees
We do not control search engines, publishers, journalists, editorial teams, competitors, or third-party SEO metrics. We therefore do not guarantee:
- Specific search engine rankings.
- Specific increases in traffic, leads, sales, or revenue.
- The permanence of any link or publication placement.
- Specific DA, DR, traffic, indexing, or link attribute outcomes.
5.2 Editorial Control
Publishers and third-party websites have full editorial control. They may edit copy, choose anchor text, apply "nofollow", "sponsored", or other link attributes, change URLs, update pages, remove content, or decline publication. We are not liable for those editorial decisions.
5.3 Publisher Availability
Publisher availability, pricing, editorial policies, and acceptance criteria may change without notice. If a proposed publisher becomes unavailable, we may suggest a reasonable alternative where appropriate.
6. Website, Hosting, and Related Services
6.1 Scope and Revisions
The scope of any website, technical, or hosting work is defined in the relevant proposal or statement of work. If no revision limit is specified, we include up to two rounds of reasonable revisions per project stage. Requests that materially change the brief, structure, design, or technical requirements may be quoted separately.
6.2 Maintenance and Updates
Where we offer maintenance, hosting, or update packages, those services are subject to fair usage. Minor content edits, image swaps, plugin updates, and bug fixes may be included depending on your package. New page creation, redesigns, custom features, content production, and graphic design are not included unless expressly agreed.
6.3 Client Content
You are responsible for supplying accurate content, images, branding, access credentials, approvals, and instructions. You warrant that you have the rights to any material you provide. We are not responsible for errors, omissions, copyright issues, or regulatory issues in client-supplied content.
6.4 Technical Limitations
We aim to build and support work for modern browsers and widely used devices. We do not guarantee compatibility with outdated browsers, unsupported platforms, or third-party systems outside our control.
6.5 Hosting, Downtime, and Backups
If we provide hosting or technical services, we may use third-party cloud, CDN, email, analytics, or platform providers. We do not guarantee uninterrupted availability and are not liable for losses caused by outages, platform failures, data loss, security incidents, or third-party service changes. Unless expressly included in your agreement, you are responsible for maintaining your own backups.
7. Fees, Payment, and Refunds
7.1 Payment Terms
Invoices are due upon receipt unless otherwise agreed in writing. We may require payment in advance before starting or continuing work.
7.2 Suspension
If payment is overdue by 7 days, we may suspend services, pause campaigns, withhold deliverables, or take hosted work offline without liability.
7.3 Refunds
All payments are final and non-refundable unless otherwise agreed in writing. Our Refund Policy forms part of these terms and is available at /refunds/.
7.4 Chargebacks
You agree not to initiate chargebacks for properly authorised payments. If you do, you agree to indemnify us for reasonable costs, fees, and administrative time spent contesting the dispute.
8. Client Obligations
You agree to:
- Provide necessary access, information, approvals, and feedback promptly.
- Ensure all information you provide is accurate and lawful.
- Use our services only for legitimate business purposes.
- Communicate professionally. We may terminate or suspend services if abusive, threatening, or unreasonable behaviour occurs.
9. Limitation of Liability
9.1 Cap on Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or connected with these terms or our services shall not exceed the fees paid by you to us in the 6 months before the claim arose.
9.2 Exclusions
We are not liable for:
- Loss of profits, revenue, business, goodwill, rankings, traffic, data, or opportunities.
- Indirect, consequential, special, or punitive losses.
- Search engine updates, manual actions, ranking volatility, indexing changes, or competitor activity.
- Publisher, platform, hosting, payment processor, analytics, or third-party service failures.
- Losses caused by inaccurate instructions, delayed approvals, missing access, or client-supplied material.
10. Intellectual Property
10.1 Pre-Existing IP
We retain ownership of our pre-existing intellectual property, including code libraries, templates, processes, outreach systems, publisher lists, documents, tools, and know-how.
10.2 Deliverables
Unless otherwise agreed in writing, ownership or licence rights in deliverables transfer only after we have received payment in full for the relevant work. Until full payment is received, you receive a limited, revocable licence to use the deliverables for the agreed purpose.
11. Termination
11.1 By Us
We may terminate or suspend services immediately if you breach these terms, fail to pay, become insolvent, misuse our services, or behave abusively.
11.2 By You
You may terminate according to the notice period in your signed agreement. If no notice period is stated, 90 days' written notice applies to ongoing services. Early termination does not entitle you to a refund unless expressly agreed in writing.
12. Governing Law and Jurisdiction
12.1 Governing Law
These terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of England and Wales.
12.2 Jurisdiction
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms.
